Governing access to and use of the Jadings360 website

Effective Date: 15 October 2026

Version No: 1

1. Introduction and Acceptance

1.1These Terms of Use (the "Terms") govern access to and use of the website at www.jadings360.com (the "Website"), which is operated by Jadings360 Limited, a company registered in Nigeria under RC 2882939, with its registered office at 39 Alfred Rewane Road, Ikoyi, Lagos ("Jadings360", "we", "us" or "our").

1.2By using the Website you accept these Terms. If you do not accept them, please do not use the Website.

1.3These Terms govern your use of the Website only. Any services we provide to you are governed by the scope letter we agree with you and the terms attached to it. If there is a conflict between these Terms and a scope letter about the services, the scope letter prevails.

1.4Our Privacy Policy and Cookie Policy explain how we handle personal data and form part of these Terms.

2. General Information Only

2.1The content on the Website is general information about our services and about compliance and governance topics. It is not legal, tax or accounting advice, and it should not be relied on as such. The law changes, so please speak to us about your own situation.

2.2Case studies, reviews and examples describe past work. They are not a guarantee of any result for you.

3. No Client Relationship from the Website

3.1Visiting the Website, submitting a form or having a first call with us does not create a client relationship. A relationship starts only when you accept our written scope letter. The first 15 minute call is free and exists to help us understand your needs. It is not an advisory session.

3.2Please do not send confidential or sensitive information through the Website before we have agreed an engagement. Anything you send us is handled in line with our Privacy Policy.

4. Fees and Payment

4.1Fees are set out in the scope letter we send you after the first call. They may be a fixed fee, a monthly retainer, or a budgeted or hourly fee.

4.2Payment is due when you accept the scope letter, and work begins once payment is received, unless we have agreed otherwise in writing.

4.3Government fees, filing charges, miscellaneous costs and third party costs are separate unless the scope letter says otherwise.

5. Jadings360 Does Not Practise Law

5.1Jadings360 is a business advisory, compliance and governance firm. Jadings360 does not practise law and does not provide legal representation, legal opinions or litigation services.

5.2Legal services such as litigation, family matters and general legal work are provided by Jadings Legal, a separate firm with its own engagement terms. Links to the Jadings Legal website are provided for your convenience. A relationship with Jadings Legal is separate from any relationship with Jadings360 and starts only on the terms of Jadings Legal.

6. Intellectual Property

6.1The text, design, logos, materials and the name Jadings360 on the Website belong to Jadings360 Limited or its licensors.

6.2You may view and share pages for your own business use, but you may not copy, modify or republish our content for commercial purposes without our written permission.

6.3Nothing in these Terms gives you a licence to use our name or logos.

7. Acceptable Use

7.1You agree not to misuse the Website, attempt to gain unauthorised access to it, introduce malicious code, use automated tools to copy its content, or impersonate another person.

7.2Information you submit through a form must be accurate, and you must have the right to give it to us.

8. Third Party Links

8.1Links to other websites are provided for information. We do not control those websites and are not responsible for their content or policies.

9. Availability and Changes to the Website

9.1We take care to keep the Website accurate and available, but we provide it as is. We do not warrant that it will be uninterrupted or free from error.

9.2We may change, suspend or withdraw any part of the Website at any time.

10. Limitation of Liability

10.1To the extent the law permits, we are not liable for indirect or consequential loss, loss of profit or loss of data arising from your use of the Website or reliance on its content.

10.2Nothing in these Terms excludes liability for fraud or any liability that cannot be excluded by law.

11. Dispute Resolution

11.1The parties will first try to resolve any dispute arising out of or in connection with these Terms by good faith negotiation between senior representatives. A party raises a dispute by written notice to the other, and the negotiation period is 14 days from receipt of that notice.

11.2If the dispute is not resolved within that period, the parties will refer it to mediation conducted in Lagos, Nigeria, under the rules of the Lagos Multi-Door Courthouse and in accordance with the Arbitration and Mediation Act, 2023. The mediator will be appointed by agreement or, failing agreement within 7 days, by the institution. The parties will share the costs of the mediator equally.

11.3If the dispute is not resolved within 30 days of the appointment of the mediator, either party may commence proceedings in the courts of Lagos State, which have jurisdiction over the dispute.

11.4Nothing in this clause prevents a party from seeking urgent injunctive or other interim relief from a competent court. Nothing in this clause limits the right of a data subject to complain to the Nigeria Data Protection Commission or to seek a remedy under the Nigeria Data Protection Act, 2023.

12. Governing Law

12.1These Terms and any dispute arising out of or in connection with them are governed by the laws of the Federal Republic of Nigeria.

13. Force Majeure

13.1A party is not in breach of these Terms and is not liable for a delay or failure to perform caused by an event beyond its reasonable control. Such events include natural disaster, epidemic, fire, flood, civil unrest, industrial action, power failure, failure of a telecommunications or internet network, failure of a cloud or third party service, or an act or order of government. This clause does not excuse a payment obligation that has fallen due.

14. Changes to These Terms

14.1We may update these Terms from time to time to reflect changes in the Website, our practices or the law. We will post the updated Terms on the Website and, where a change is material, a notice of the change.

14.2Continued use of the Website after the effective date of an update is acceptance of the updated Terms. The version number and effective date at the top of these Terms show the version in force.

15. General

15.1These Terms, together with the Privacy Policy and the Cookie Policy, are the entire agreement between you and Jadings360 about your use of the Website and replace any earlier understanding on the same subject.

15.2If any provision of these Terms is found to be invalid or unenforceable, the rest of the Terms remain in effect and the provision will be treated as modified to the minimum extent needed to make it enforceable.

15.3A failure or delay by a party in exercising a right is not a waiver of it.

15.4You may not assign or transfer your rights or obligations under these Terms. We may assign these Terms to a successor to our business, provided that the protections for personal data in the Privacy Policy continue to apply.

15.5Your use of the Website, or submission of a form, is evidence of your agreement to these Terms. No third party has any right to enforce these Terms, except that a data subject keeps all rights that the Nigeria Data Protection Act, 2023 gives them.
